1. Acceptance of Terms

By accessing or using StartupHub.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. User Accounts

Account Creation: You may need to create an account to access certain features. You must provide accurate, current, and complete information during registration.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms or engage in any conduct that we deem harmful to the Service or other users.

2A. Named-User Seat Licensing

EACH SUBSCRIPTION SEAT IS LICENSED TO ONE NAMED INDIVIDUAL ("NAMED USER"). The number of seats associated with your account ("Subscribed Seats") is the maximum number of distinct individuals authorized to access StartupHub.ai using your subscription, including via the dashboard, the API, MCP servers, the Excel/Sheets connector, exported data files, or any other access mechanism.

SHARING IS PROHIBITED. You may not share, distribute, sublicense, transfer, or otherwise make available your account credentials, API keys, exported reports, or any other access mechanism to any individual outside the Subscribed Seats. This prohibition applies whether the additional users are employees, partners, contractors, advisors, family members, friends, or any other persons. The most common violation is a single subscription used across an entire venture capital firm, agency, or corporate team — this is a material breach of these Terms regardless of intent.

DETECTION. We continuously monitor account usage to detect unauthorized sharing using methods including but not limited to: concurrent session analysis (more than one active session from a single seat), device fingerprinting (browser, OS, hardware signatures), IP and geographic dispersion patterns (logins from multiple distinct cities or countries within short time windows), API request distribution patterns inconsistent with single-user behavior, audit of named-user logs supplied to us by you, and forensic analysis of exported content (which may contain user-identifying watermarks). You agree that the results of these methods are admissible evidence of breach.

REMEDIES — RETROACTIVE BILLING + LIQUIDATED DAMAGES. Upon detection of unauthorized sharing, StartupHub.ai may, at its sole discretion and without prior notice, exercise any or all of the following remedies cumulatively:

(a) Suspend or terminate the account immediately;

(b) **CHARGE YOUR PAYMENT METHOD ON FILE** at the published per-seat rate for each unauthorized user, retroactive to the start of the violation as determined by our records, plus liquidated damages of 1.5× that amount. The parties agree that actual damages from credential sharing are inherently difficult to quantify and that 1.5× liquidated damages constitute a reasonable approximation, not a penalty;

(c) Pursue civil litigation for additional damages, injunctive relief, and recovery of attorneys' fees and costs;

(d) Report the violation, including identifying details of the named subscriber and the firm or organization on whose behalf the sharing occurred, to industry compliance and credentialing bodies as appropriate.

PAYMENT MANDATE — EXPRESS AUTHORIZATION. By subscribing to StartupHub.ai, you expressly authorize us to charge your saved payment method (the payment method you provided at subscription, or any subsequent payment method you provide to us) for the amounts described in clause (b) above, on an off-session, merchant-initiated basis, without further authorization required at the time of charge. This authorization is given as part of an ongoing commercial relationship and constitutes a payment mandate under PSD2 / SCA / Stripe Off-Session rules. We will provide you with a written notice (by email to your registered address) at least seven (7) days prior to processing such a charge, identifying the basis for the violation and the amount to be charged, except in cases of egregious or repeat violation where we may charge immediately.

NEED MORE SEATS? If your team has grown or you need to authorize additional named users, contact [email protected]. Bulk pricing is significant — adding seats in good faith is dramatically less expensive than the consequences of unauthorized sharing.

SURVIVAL. This Section 2A survives termination of your subscription with respect to violations occurring during the subscription term.

3. User Content

Your Content: You retain ownership of content you submit to the Service ("User Content"). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content in connection with the Service.

Content Standards: You agree not to submit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable. We reserve the right to remove any content that violates these Terms.

Accuracy: If you submit information about a company, investor, or person, you represent that the information is accurate to the best of your knowledge.

4. Acceptable Use

You agree not to:

- Use the Service for any unlawful purpose or in violation of any laws - Attempt to gain unauthorized access to any part of the Service - Interfere with or disrupt the Service or servers connected to it - Use automated systems (bots, scrapers, etc.) to access the Service without permission - Collect or harvest user data without consent - Impersonate any person or entity or misrepresent your affiliation - Upload viruses or malicious code - Circumvent any access controls or usage limits

5. Intellectual Property

ALL CONTENT, DATA, ARTICLES, REPORTS, RANKINGS, ANALYSES, MARKET MAPS, COMPANY PROFILES, AND ANY OTHER MATERIAL PUBLISHED ON STARTUPHUB.AI (COLLECTIVELY, "OUR CONTENT") IS THE EXCLUSIVE PROPERTY OF STARTUPHUB.AI AND IS PROTECTED BY INTERNATIONAL COPYRIGHT, TRADEMARK, AND INTELLECTUAL PROPERTY LAWS.

Our Content includes, without limitation: startup and investor profiles, funding data, editorial articles, AI-generated analyses, market maps, rankings, scoring methodologies, newsletter content, RSS feed content, and any data compilations produced by StartupHub.ai.

License to Use: We grant you a limited, non-exclusive, non-transferable, revocable license to access and view Our Content solely for your personal or internal business purposes. This license does not include any right to reproduce, republish, redistribute, or create derivative works from Our Content.

All rights not expressly granted herein are reserved by StartupHub.ai.

6. Content Protection and Prohibited Use

YOU MAY NOT, UNDER ANY CIRCUMSTANCES, WITHOUT THE EXPRESS PRIOR WRITTEN PERMISSION OF STARTUPHUB.AI:

- Scrape, crawl, spider, or use any automated means to access, extract, download, or collect Our Content - Reproduce, republish, repost, or redistribute Our Content on any website, application, social media platform, newsletter, or any other medium, whether in whole or in part - Use Our Content obtained via our RSS feeds, APIs, or any other distribution channel for any purpose other than personal reading in a standard RSS reader - Present Our Content as your own, remove or obscure attribution, or otherwise misrepresent the origin of Our Content - Use Our Content to train, fine-tune, or build any machine learning model, artificial intelligence system, or dataset without a separate written license agreement - Commercially exploit, sell, license, or otherwise monetize Our Content or any derivative thereof - Frame, embed, or deep-link to Our Content in a manner that obscures its origin from StartupHub.ai

PERMITTED USE WITH FULL ATTRIBUTION: You may summarize or reference Our Content in your own original work (such as a blog post, article, or report) provided that ALL of the following conditions are met:

(a) Your work is substantially original and Our Content is not the primary substance of your work (b) You include a clearly visible, clickable hyperlink to the original content on StartupHub.ai (c) You include the full attribution text "Source: StartupHub.ai" or "Via StartupHub.ai" immediately adjacent to the referenced content, with "StartupHub.ai" being a clickable link to https://www.startuphub.ai (d) You do not reproduce more than two (2) sentences verbatim from any single piece of Our Content (e) You do not systematically or repeatedly reference Our Content in a manner that substitutes for visiting our Service

Any use that fails to meet ALL of the above conditions constitutes copyright infringement and unauthorized reproduction.

7. Enforcement and Legal Remedies

STARTUPHUB.AI ACTIVELY MONITORS FOR UNAUTHORIZED USE OF OUR CONTENT AND WILL PURSUE ALL AVAILABLE LEGAL REMEDIES AGAINST INFRINGERS TO THE FULLEST EXTENT OF THE LAW.

If we determine that you have reproduced, redistributed, or misappropriated Our Content in violation of these Terms, we reserve the right to, without prior notice:

- Immediately terminate your access to the Service and revoke any licenses granted - Issue formal DMCA takedown notices to all platforms hosting the infringing content, including but not limited to: social media platforms (X/Twitter, LinkedIn, Facebook, Instagram), hosting providers, CDNs, domain registrars, and search engines - File civil litigation seeking injunctive relief, actual damages, statutory damages (up to $150,000 per work infringed under the U.S. Copyright Act), disgorgement of all profits derived from the infringement, and recovery of attorneys' fees and costs - Report the infringement to relevant law enforcement authorities where criminal copyright infringement may apply - Pursue claims under the Computer Fraud and Abuse Act (CFAA) for unauthorized access to our systems via scraping or automated data collection - Seek damages under applicable international intellectual property treaties, including the Berne Convention

We maintain detailed server logs, content fingerprints, and forensic records of all access to Our Content, which will be used as evidence in any legal proceedings.

NOTICE TO CONTENT AGGREGATORS, NEWS SCRAPERS, AND AI COMPANIES: If you operate a service that aggregates, republishes, or ingests content from multiple sources, you are explicitly prohibited from including any content from StartupHub.ai without a separate written licensing agreement. Accessing our RSS feeds or APIs does not grant you a license to republish. Contact [email protected] for licensing inquiries.

8. Data Usage

Our Data: The startup, investor, and market data provided through the Service is compiled, curated, and enriched by StartupHub.ai through proprietary processes. This data constitutes a protected compilation under copyright law regardless of whether individual data points may be available from other sources.

Permitted Use: You may use Our Data for personal research, individual due diligence, and internal business analysis. You may not bulk download, systematically extract, aggregate, or redistribute Our Data by any means.

Commercial Use: Any commercial use of Our Data, including but not limited to resale, incorporation into competing products, use in paid reports, or redistribution to third parties, requires a separate commercial license agreement. Contact [email protected] for commercial licensing.

Attribution: When citing Our Data in any publication, report, or presentation, you must attribute the source as "StartupHub.ai (startuphub.ai)" with a clickable hyperlink where the medium supports it.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

- Implied warranties of merchantability - Fitness for a particular purpose - Non-infringement - Accuracy or completeness of information

We do not warrant that the Service will be uninterrupted, secure, or error-free. Your use of the Service is at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARTUPHUB.AI SHALL NOT BE LIABLE FOR ANY:

- Indirect, incidental, special, consequential, or punitive damages - Loss of profits, data, or business opportunities - Damages arising from your use or inability to use the Service

Our total liability for any claims under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless StartupHub.ai, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

- Your use of the Service - Your violation of these Terms - Your violation of any third-party rights - Any content you submit to the Service

12. Changes to Terms

We may modify these Terms at any time by posting the revised terms on the Service. Your continued use of the Service after any changes indicates your acceptance of the new Terms.

For material changes, we will provide notice through the Service or by email. If you do not agree to the modified Terms, you should discontinue use of the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Tel Aviv, Israel, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the courts located in Tel Aviv, Israel, and you consent to the personal jurisdiction of such courts.
